1. Agreement to Terms:
Sunny Lead Automations is a trading name of [Your Full Name], operating as a sole trader in the United Kingdom. By accessing our website at https://sunnyleadautomations.uk or using our services, you agree to be bound by these Terms of Service and all applicable UK laws and regulations.
2. The "Architect" Role & Service Environment:
Sunny Lead Automations ("The Architect") provides digital strategy and automation infrastructure.
Third-Party Platforms: We build on third-party platforms including, but not limited to, Wix, GoHighLevel, Google, Squarespace, and Shopify.
No Ownership: You acknowledge that we do not own or control these platforms. We are not liable for service interruptions, "downtime," server outages, or layout "breaking" caused by automatic platform updates or API changes.
Speed & Performance: Website load speeds are subject to the limitations of your hosting provider and plan. We are not responsible for performance issues caused by the hosting company's infrastructure.
3. SMS & Communication (A2P Compliance):
By using our lead automation services, you agree to follow UK marketing laws (PECR/UK GDPR).
Opt-In: You must ensure all leads have provided express consent to be contacted via SMS.
Standard Clauses: All SMS automated by us will include "STOP" to unsubscribe and "HELP" for instructions, or email [email protected]
Non-Sharing: We do not share or sell mobile opt-in data with third parties for marketing purposes.
4. The "Pre-Existing Condition" Rule:
Before work begins, The Architect performs a site audit. We are not liable for "broken" code, mobile optimization errors, or security vulnerabilities that existed on your site prior to our engagement. Any work required to fix pre-existing issues will be billed as a separate service.
5. Client Responsibilities & Honesty:
Content Rights: You warrant that all images, text, and data provided to us are your property or that you have the legal right to use them. You agree to indemnify Sunny Lead Automations against any copyright or trademark claims arising from the content you provide.
Approvals: You must review and approve work within 5 business days. Delays in approval will result in a corresponding delay in project completion.
6. Limitation of Liability:
To the fullest extent permitted by law, Sunny Lead Automations is not liable for:
Loss of Profit: Any perceived loss of revenue or leads due to platform outages or technical glitches beyond our control.
Lead Quality: While we build the infrastructure to generate leads, we do not guarantee the "conversion" or "closing" of those leads. Sales outcomes are the sole responsibility of the Client.
Liability Cap: Our total liability for any claim shall not exceed the total amount paid by the Client for the specific service in question during the preceding 3 months.
7. Payments, Retainers & Cancellations (2026 UK Rules):
Payment Terms: Invoices must be paid within 14 days. Late payments may result in the suspension of all active automations.
Cancellations: For recurring retainers, you must provide 30 days' written notice to cancel.
Cooling Off: In accordance with the DMCCA 2026, new business-to-consumer contracts may include a 14-day cooling-off period; however, this does not apply once the performance of digital services has begun with your consent.
8. Force Majeure:
We are not liable for failure to perform our obligations due to events outside our reasonable control, including but not limited to: platform-wide cyberattacks, national internet outages, or changes in international telecommunications laws.
9. Governing Law
These terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the English courts.
